Indemnification in an LLP
I have an LLP for the state of Washington and it is for a film that I am making. I have a very rich potential client who is thinking of investing. As far as the indemnification part of the LLP, it says that me, The Initial Managing Partner is held harmless for any liability, loss etc… He is worried that in the case of a law suit, that someone could sue him individually, is that possible with an LLP, and if not then who exactly is liable for something that goes wrong? Appreciate the answer. This is exactly what is says about indemnification: Indemnification � The Initial Managing Partners and its representatives or agents and the Initial Managing Partners’ legal counsel shall be held harmless and be indemnified by the Partnership for any liability, loss (including amounts paid in settlement), damages or expenses (including reasonable attorney�s fees) suffered by virtue of any acts or omissions or alleged acts or omissions arising out of such person’s activities either on behalf of the Partnership or in furtherance of the interests of the Partnership and in a manner believed in good faith by such person to be within the scope of the authority conferred by this Agreement or law.

Adverse Credit Action due to Divorce
My ex wife was assigned the home mortgage and a home improvement loan as part of her responsibility in the divorce. Both are in my name. She’s defaulted 4 times in a year on the mortgage and stopped paying on the other loan, which is now charged off. My credit is being destroyed a bit more on a monthly basis.

Is there anything I can do to get the credit agencies to stop reporting negatively on those items? Is there any way that I can recover monetary damages from my ex for this (the decree has an indemnification clause)?

Hold Harmless Agreement
My ex-spouse defaulted on debts that were awarded to them in the divorce, I paid the bills and sued my ex as we had a hold harmless agreement in our divorce decree. At the time my attorney filed, he only asked for $1000 in attorneys fees which the judge gave me but by the time all was said and done, my attorney fees were actually $2000. Can I sue for the additional $1000 in small claims court since it was part of my actual damages?

Civil damages from damage to credit rating
My ex-wife took over some community debt that is still in my name as per our divorce decree. Then she basically decided to just stop paying it (includes a mortgage and home equity credit line). This has resulted in measurable and massive damage to my credit including 3 mortgage defaults. My divorce decree has a ”hold harmless provision” which I thought indemnified me against such damage or at least gave me recourse, but now I’m not sure what to do. I am now in a place with my credit where I can’t purchase necessary items (like a home or car) through financing and am losing money and financial opportunity.

Do I have a case to recover civil monetary damages from her as a result?
